Establishing a Limited Liability Company (Sp. z o.o.) – Creating the Notarial Deed of the Company Agreement

Are you planning to establish a limited liability company (sp. z o.o.)? This is one of the most popular legal forms of conducting business in Poland. The Notary Office of Magdalena Pacuła-Ziemińska offers comprehensive assistance in the process of establishing a limited liability company, including the drafting of the notarial deed of the company agreement.

A notary from our office will ensure that the articles of association of the limited liability company comply with the applicable provisions of the Commercial Companies Code and contain all the necessary elements. We will also assist you in completing the other formalities related to the registration of the limited liability company in the National Court Register (KRS).

What Does the Notarial Deed of a Limited Liability Company Agreement Contain?

  • Data of the shareholders: First names, surnames, addresses, PESEL numbers, or company names, KRS numbers, and details of representatives.
  • Name and registered office of the company.
  • Object of the company’s activity: Specified in accordance with the Polish Classification of Activities (PKD).
  • Amount of the share capital: The minimum amount is PLN 5,000.
  • Information on whether a shareholder may hold more than one share.
  • Number and nominal value of shares taken up by each shareholder.
  • Duration of the company, if specified.

Drafting the Minutes of a Limited Liability Company Shareholders’ Meeting

The minutes of the shareholders’ meeting are a key document confirming the adoption of resolutions by the shareholders of a limited liability company. In certain cases, specified in the Commercial Companies Code, these minutes must be drawn up in the form of a notarial deed by a notary public.

When Must the Minutes of a Limited Liability Company Shareholders’ Meeting be in the Form of a Notarial Deed? This applies to the following situations:

  • amendment of the company agreement,
  • increase or decrease of the share capital,
  • dissolution of the company,
  • merger, division, or transformation of the company,
  • other cases provided for in the Commercial Companies Code or in the company agreement.

The notary public present at the shareholders’ meeting ensures the proper conduct of the meeting and the compliance of the adopted resolutions with the law. The minutes drawn up by the notary public constitute an official confirmation of the decisions made and are necessary for making appropriate entries in the National Court Register.
